1. Orders:
1.1. Wholesale Fencing SA shall have the right to withdraw the offer made in any Quotation at any time prior to acceptance of the Customer’s appropriate purchase order. Further, this offer shall only remain in force for seven (7) days, and should be considered invalid or withdrawn if any of the terms and conditions of any Quotation are unacceptable to the Customer.
1.2. While all efforts will be made not to do so, Wholesale Fencing SA reserves the right to withdraw from any Quotation due to market circumstances beyond its control.
1.3. Any order for non-standard stock items or where quantities ordered are greater than Wholesale Fencing SA minimum stock levels, the order cannot be cancelled once acknowledgment of acceptance is received. The Customer will be liable to settle the full amount of the order.
1.4. Unless otherwise agreed between the parties in writing or by means of a valid and approved credit application between the parties a min of 50% deposit shall be paid by the Customer on placement of order, with the balance due and payable immediately and without delay before delivery or collection can take place.
1.5. The Customer’s purchase order shall incorporate by reference, or have attached thereto, the approved plans, drawings and specifications for the product(s) ordered, if and when applicable.
2. Deliveries:
2.1. Deliveries are determined from the date Wholesale Fencing SA received the Customer’s deposit, acceptable purchase order or upon receipt of any material or information that the Customer is required to furnish Wholesale Fencing SA, whichever occurs later.
2.2. Should we be delayed in performing the works and you or your client is responsible for the delay, the cost of the delay will be charged accordingly.
2.3. Force Majeure: Wholesale Fencing SA assumes no obligation whatsoever for disruption or delay of delivery resulting directly or indirectly from events by or resulting from an act of God or public enemy, fire, explosion, earthquake, perils of the sea, flood, war declared or undeclared, civil war, revolution, civil commotion or other civil strife, riot, strikes, blockade, embargo, sanctions, epidemics, act of any Government or other Authority, compliance with Government orders, demands or regulations, or any circumstances of like or different nature beyond the reasonable control of the Wholesale Fencing SA so failing, will not be orders, demands or regulations, or any circumstances of like or different nature beyond the reasonable control of the Wholesale Fencing SA so failing, will not be deemed to be a breach of this Agreement nor will it subject either Party to any liability to the other.
2.4. Wholesale Fencing SA is not responsible for offloading of material on site unless quoted for or stated by the client, Wholesale Fencing SA assumes that if no information is provided that the client has the necessary equipment to offload the truck. Wholesale Fencing SA reserves the right to charge the customer standing time should offloading time be longer than 2 hours. Time provided is subject to size of order.
2.5. Wholesale Fencing SA reserves the right to charge for additional delivery costs if the client changes or alter the delivery address and / or conditions.
3. Prices and Payment:
3.1. All quoted prices are based on current costs, availability of raw materials, labour and are exclusive of VAT. Wholesale Fencing SA reserves the right to adjust the selling price to reflect any increase in these costs.
3.2. Unless the context deems otherwise, the balance of the payment is subject to Clause 1,4 above and is further due according to the terms and conditions of this Quotation invoice. In the event of default of payment, the Customer agrees to pay the full amount owing to Wholesale Fencing SA plus interest at a rate of prime plus two percent (2%) per annum for each month the payment remains outstanding.
3.3. All material remains the property of the Wholesale Fencing SA until paid in full, and may at any time be removed by Wholesale Fencing SA if the terms of payment are not met.
3.4. ANY and ALL cash deposits via a bank's ATM or deposit services, will hold a Deposit Fee Charge of 2% of the total value deposited. Goods will not be released if the 2% deposit charge was not paid.
3.5. Any outstanding payments on ordered stock is to be paid within 1/one week of receiving notice that the goods are ready for collection.
4. Design:
4.1. The Customer shall be responsible to supply accurate information regarding the design required for any additional charges assessed by Wholesale Fencing SA as a result of such modification or alteration.
4.2. Wholesale Fencing SA does not take any responsibility if a product is manufactured according to client’s specification and it suffers any damages during installation.
4.3 Wholesale Fencing SA is responsible for producing the product in accordance with the approved plans, specifications, drawings and samples (signed and dated), that are incorporated into this Quotation.
4.4. Take Note - Wholeview Gates/Gates made with panels may not always be 100% according to the measurements, as these gates are manufactured according to the panel and not according to the frame. Please send us the gate details when asking for a quotation, ie. Opening in or out and left to right or right to left. All swing gates are made to the closest sizes on the widths of the gates and not to the exact size.
5. Indemnification:
5.1. The Customer shall indemnify, defend and hold Wholesale Fencing SA harmless from any and all liability, loss, damages or expenses, including attorney fees, resulting from any alleged defect in the design or specification of goods manufactured by Wholesale Fencing SA according to the Customer’s plans, specifications, drawings or samples.
5.2. Take Note - The customer remains liable for checking all goods collected/delivered. Goods leaving the premises on collections will be accepted as in good order. The customer confirms that they have inspected such goods before leaving the property. Goods delivered and not disputed, will be accepted as delivered in good order. The customer confirms that they have inspected such goods before our vehicle leaves the property. The responsibility remains on the customer to ensure that they have received the correct product/s.
6. Cancellation:
6.1. The Customer shall be responsible for a cancellation fee of 15% Fifteen Percent of the Quotation, which may result from any modification or cancellation of any order. Cancellation fee on non-standard material will be 100% Hundred Percent of the Quotation value.
6.2. Refunds will first be verified and approved by higher management. Such refunds may take 5/five to 7/seven business days. Depending on the conditions of the refund, a handling fee of 20% may be charged if the refund has been requested within the allocated lead times as in Point 8 below. No exceptions will be made and NO cash refunds will be done.
7. Miscellaneous:
7.1. The terms and conditions are binding upon and for the benefit of the parties, their successors and assigns and form part of any agreement subsequently concluded between the parties.
7.2. Failure to enforce any provision of these terms and conditions shall not constitute a waiver of any term hereof.
7.3. Wholesale Fencing SA reserves the right to amend these Terms and Conditions from time to time at their discretion.
7.4. Upon acceptance of the quote unless otherwise stated the customers agrees to the terms and conditions.
8. Lead Times:
8.1. Standard lead times if stock is not available will be as follows:
8.2. Made to order posts, stays & gates, to be painted will require 10 – 15 working days, and for galvanized product will require 15 – 21 working days.
8.3. Panel fencing: PowderCoated or Plascoat: 14 – 21 working days.
8.4. Non-standard panel fencing sizes: (2m/2,1m/2,4m): 14 - 21 working days.
8.5. Working days are Monday – Friday excluding public holidays.
8.6. Lead times are estimates only, based on current factory loading and material availability and can only be confirmed at the time of order placement.
8.7. Lead times given EXCLUDES site delivery periods.
8.8. Lead times provided can change due to unforeseen events in the market such as, shortages on raw materials, load shedding or break downs of equipment.
9. Storage of Goods Ready for Collection:
9.1. Goods that are ready for collection will be stored for a MAXIMUM of 2/two weeks after notification has been sent out that such goods are ready for collection. Thereafter, a storage fee determined by WFSA per weight class, will be charged weekly.
